Terms and Conditions for using the Ydealogica platform

1. Platform owner details

The platform is managed by:

2. Definitions

Platform: the website, reserved area, online forms, customer dashboard and any digital feature provided by Ydealogica S.r.l.

User: the natural person accessing the platform on behalf of a company, entity, organisation or professional customer.

Customer: the company, entity, professional or legal person on whose behalf the user uses the platform.

Contact person: the natural person who registers, enters data, uploads files or submits requests on behalf of the customer.

Services: the services offered by Ydealogica S.r.l., including prototyping, CNC machining, 3D printing, design, engineering, feasibility studies, simulations, technical support and other activities indicated on the website or in the quote.

Quote request: the request submitted through the platform to receive a technical, economic or commercial assessment.

Technical files: 3D files, technical drawings, project specifications, CAD models, images, documents, notes and attachments uploaded by the user.

Quote: the document or communication by which Ydealogica S.r.l. formulates a technical and economic proposal relating to a request.

3. Purpose of the platform

The platform allows business users to consult information on services, materials, technologies and processes offered by Ydealogica S.r.l.; register a company account; access a reserved area; enter company, tax, administrative and contact data; submit quote requests; upload 3D files, technical drawings and project documents; monitor request status; and receive operational communications or quotes.

The platform is not an automatic online sales system. Sending a request does not imply automatic acceptance of the assignment by Ydealogica S.r.l. Each request is assessed case by case from a technical, economic, production and organisational perspective.

4. Service recipients and business use

The platform is intended exclusively for business or professional customers. By registering or submitting a request, the user declares that they act on behalf of a company or professional entity, are authorised to enter data and submit requests, provide truthful and complete information, and do not use the platform for personal, unlawful or unrelated purposes.

Ydealogica S.r.l. may request clarifications or additional documentation to verify the contact person's identity, the correctness of company data or the user's authority to act on behalf of the customer.

5. Account registration

Some platform functions may require account registration. During registration, users may be required to enter registration email or username, contact person's first and last name, mobile number, company data, tax data, billing and shipping addresses and administrative or technical contacts.

Users must keep their credentials confidential and must not share them with unauthorised persons. Any activity performed through the account may be attributed to the associated customer or contact person unless unauthorised use is promptly reported to Ydealogica S.r.l.

6. Sign in with Google

The platform may allow registration or access through "Sign in with Google". This option is voluntary. When selected, the user is redirected to Google's systems for authentication. Ydealogica S.r.l. may receive the data strictly necessary to create or manage the account, such as first name, last name, email address and Google account identifier.

The user is responsible for the security of their Google account. Processing carried out directly by Google is governed by Google's own terms and privacy notices.

7. Company and tax data

The customer is responsible for the correctness of company, tax, administrative and contact data entered on the platform. Ydealogica S.r.l. may verify such data before sending a quote or starting any work. Incomplete, inaccurate, inconsistent or unverifiable data may result in suspension of the assessment, requests for integration or refusal of the request.

For EU companies, VAT numbers may be checked through VIES or equivalent systems. For non-EU companies, a TIN or other valid tax identifier may be requested.

8. Quote requests

Users may submit quote requests through the platform form by filling in the requested information and uploading any technical files. Submission of a request does not constitute an order, contract, automatic acceptance of an assignment or obligation for Ydealogica S.r.l. to perform the requested service.

Ydealogica S.r.l. assesses requests based on available information, including requested service, project description, files or technical documentation, materials, quantities, tolerances, finishes, treatments, special requirements, desired timing, technical and production feasibility, and availability of materials, equipment and resources.

Ydealogica S.r.l. may contact the contact person to request clarifications, integrations, updated files or further information before issuing a quote.

9. Request status

The platform may show the updated status of submitted requests. Statuses are informative and operational, and may include: under review, quote available, in progress, shipped or cancelled. Platform statuses do not replace contractual, administrative or commercial communications sent directly by Ydealogica S.r.l.

10. Quotes, validity and acceptance

Quotes may include service description, technical specifications, materials, quantities, price, indicative timing, payment terms, delivery methods, exclusions and other specific conditions.

Unless otherwise indicated, quotes are valid for 30 days from issue. After this period, Ydealogica S.r.l. may confirm, update or withdraw the quote.

The contract between the customer and Ydealogica S.r.l. is concluded only after acceptance of the quote by the customer and confirmation by Ydealogica S.r.l., according to the methods indicated in the quote or agreed in writing.

11. Changes to the request or project

Changes requested after submission, quote issue or quote acceptance may lead to revision of costs, timing, technical specifications or feasibility. Ydealogica S.r.l. is not required to perform changes that have not been agreed in writing.

12. Upload of technical and 3D files

The user declares and guarantees that they have the right to upload and transmit the submitted files; that the files do not infringe intellectual property, trade secrets, patents, trademarks, designs, copyright or third-party rights; that they do not contain malware or harmful code; that technical information is correct and suitable for assessment; and that the files do not concern unlawful or unauthorised products, components or activities.

Ydealogica S.r.l. may apply limits on format, size, number and type of attachments, perform technical and security checks and reject, delete or block non-compliant, suspicious, damaged, unreadable or irrelevant files.

13. Intellectual property of customer files

Technical files, 3D models, drawings, specifications and project documentation uploaded by the customer remain the property of the customer or their respective owners. Uploading files does not transfer intellectual property to Ydealogica S.r.l.

By uploading files, the customer grants Ydealogica S.r.l. a limited, non-exclusive licence strictly necessary to analyse the request, assess feasibility, prepare the quote, communicate with the customer, perform the service if accepted and keep technical and documentary evidence within the limits needed to manage the relationship.

14. Confidentiality

Ydealogica S.r.l. undertakes to treat technical files and project information confidentially, limiting access to authorised persons involved in assessment, quotation or performance of the service. Information may be shared with collaborators, consultants, suppliers or technical partners only where necessary and within strict limits.

15. Platform content ownership

All platform content, including texts, images, trademarks, logos, photographs, layouts, graphics, visual elements, website structure and software components, belongs to Ydealogica S.r.l. or their respective owners unless otherwise indicated. Users may not copy, reproduce, modify, distribute, publish, extract, reuse or exploit such content without written authorisation.

16. Technical feasibility, tolerances and results

Information on materials, technologies, processes, timing and results has descriptive and informational value. Actual feasibility depends on factors such as geometry, material, production process, tolerances, finishes, quantity, material availability, technical specifications, intended use and documentation provided by the customer. Tolerances, finishes and performance are binding only if expressly indicated in the accepted quote or agreed technical documents.

17. Certifications, testing and intended use

Certifications, markings, tests, inspections, declarations of conformity, dimensional reports, laboratory tests or regulatory checks are included only if expressly provided in the quote or agreed in writing. The customer remains responsible for assessing intended use, applicable regulatory compliance and the need for certifications or authorisations.

18. User obligations and prohibited uses

Users must use the platform correctly, lawfully and in compliance with these Terms. It is prohibited to provide false or misleading data, upload harmful files or files infringing third-party rights, use the platform for unlawful or fraudulent purposes, attempt unauthorised access, perform scraping or security testing without authorisation, bypass technical or security restrictions or request production of unlawful items.

19. Suspension, limitation or closure of the account

Ydealogica S.r.l. may suspend, limit or close an account in case of breach of these Terms, false or unverifiable data, unauthorised or unlawful use, harmful or irrelevant uploads, security risks, customer request, service termination or organisational changes.

20. Platform availability

Ydealogica S.r.l. endeavours to keep the platform functioning and accessible, compatibly with technical needs, maintenance, updates, security and availability of hosting or infrastructure services. Temporary unavailability may occur.

21. Third-party services

The platform may integrate or link third-party services such as authentication systems, hosting, email services, security tools or other technical services. Such services may be subject to their own terms and privacy notices.

22. Payments, invoicing and economic terms

Prices, payment methods, deposits, balances, invoicing timing and additional costs are indicated in the quote or separate commercial documents. Unless expressly stated, shipping, insurance, special packaging, urgency, treatments, certifications, tests, inspections, special materials or additional activities are not included.

23. Delivery, shipping, packaging and transport risk

Unless otherwise agreed in writing in the quote or order confirmation, delivery may take place at the company premises or by shipment to the address indicated by the customer. The customer is responsible for the correctness and completeness of the shipping address. Additional costs due to incomplete, incorrect or outdated data are borne by the customer.

Shipping, transport, insurance, storage, redelivery, customs duties and accessory costs are borne by the customer unless otherwise agreed in writing. Ydealogica S.r.l. prepares packaging suitable for the nature of the product, considering component features, material, fragility and ordinary transport methods.

Unless otherwise agreed, in case of shipment by carrier or courier, Ydealogica S.r.l. is released from the delivery obligation when the goods are handed over to the carrier. From that moment, the risk of loss, damage, delay or deterioration during transport passes to the customer, except in cases directly attributable to wilful misconduct, gross negligence or manifestly inadequate packaging by Ydealogica S.r.l.

Upon receipt, the customer must immediately check packaging integrity and number of packages. In case of damaged, tampered, wet, open or altered packaging, delivery must be accepted with a specific reservation on the carrier document. Evident transport damage must be reported to Ydealogica S.r.l. within 48 hours, with photographs and available shipping documents.

24. Product checks, disputes and complaints

The customer must check products, prototypes, components, processes or materials immediately after delivery, verifying correspondence with the accepted quote and agreed technical specifications. Disputes concerning apparent defects, visible non-conformities, wrong quantities, transport damage or immediately recognisable quality defects must be notified in writing within 8 days of receipt.

Hidden defects must be reported in writing within 8 days of discovery. Complaints must include quote or order reference, detailed description, clear photographs, reference files or drawings, date of receipt and any transport document or proof of delivery.

Use, assembly, modification, painting, subsequent processing, installation or transformation of the product may be considered acceptance at least with regard to apparent defects. Where a complaint is well founded, Ydealogica S.r.l. may correct, repair, replace, repeat production, grant a credit or price reduction, or propose another technical solution agreed with the customer.

Returns of customised products, prototypes, components made to drawing, parts produced to customer specifications or commissioned works are excluded unless otherwise agreed in writing or unless a defect attributable to Ydealogica S.r.l. is established.

25. Limitations of liability

To the extent permitted by law, Ydealogica S.r.l. is not liable for errors or omissions in data or files provided by the customer, improper or undeclared use of products, unsuitability for purposes not communicated or agreed, infringement of third-party rights deriving from customer files, delays or disruptions not attributable to Ydealogica S.r.l., loss of profit, indirect or consequential damage, production downtime or platform malfunctions due to technical causes, maintenance, third-party services or force majeure, except in cases of wilful misconduct or gross negligence.

26. Indemnity

The customer undertakes to indemnify and hold Ydealogica S.r.l. harmless from claims, disputes, damages, costs, penalties or third-party requests arising from unauthorised use of files or specifications, infringement of intellectual or industrial property rights, inaccurate company or tax data, unlawful or improper use of the platform, production based on incorrect or incomplete information, or undeclared/non-compliant intended uses.

27. Privacy and personal data protection

Personal data processing is governed by the Privacy Policy. Cookies and similar technologies are governed by the Cookie Policy.

28. Communications

Communications relating to the platform, requests, quotes or accounts may be sent to the email addresses provided by the user. The customer must keep contact details updated.

29. Changes to the Terms and Conditions

Ydealogica S.r.l. may modify or update these Terms for technical, organisational, legal or commercial reasons. The updated version will be published on the website with the last updated date.

30. Partial invalidity

If one or more provisions are invalid, ineffective or unenforceable, the remaining provisions remain valid and effective.

31. Applicable law and competent court

These Terms and Conditions are governed by Italian law. Any dispute relating to interpretation, validity, performance or termination of these Terms, the platform, requests or quotes shall be subject to the exclusive jurisdiction of the Court of Mantua, unless otherwise provided by mandatory law or agreed in writing.

32. Acceptance of the Terms

By registering on the platform, submitting a quote request, uploading technical files or using the reserved area, the user declares that they have read, understood and accepted these Terms and Conditions.
